For that purpose, the Licensor will provide to Contenseo, upon request, such information as Contenseo may consider reasonably necessary for the remittance of such taxes. Contenseo will not be liable for any such amounts. In no event will Contenseo be responsible for the payment of any tax based on the Licensor’s net income.
- The Licensor acknowledges and agrees that Contenseo may hold back a portion of any sum due and payable to the Licensor if Contenseo, acting reasonably, determines that such hold back is necessary to secure the payment and performance of all liabilities, obligations, and indebtedness that the Licensor may incur under this Agreement or as the result of any breach of this Agreement. Without prejudice to any other right of Contenseo arising under these Terms otherwise at law or in equity, the Licensor acknowledges and agrees that Contenseo may also refuse to make payments to the Licensor as aforesaid, notwithstanding that such payments may then be due, if Contenseo determines, in good faith, that the Licensor has breached any applicable law or regulation or otherwise has breached a material term of this Agreement.

At the end of the applicable period, the subscription will automatically renew for another period unless terminated in advance by the Member. In the event of a planned increase in subscription charges Contenseo will notify the Member in advance of the anticipated renewal date and the Member will have the opportunity to terminate the Subscription at that time in accordance with the terms of the notice issued by Contenseo.
- You expressly agree that you have immediate access to the Services which means that you do not have any right of cancellation for any Subscription Services as they are delivered immediately to you.
